Membership Agreement

装备展示厅是由苏美达国际技术贸易有限公司（以下简称“苏美达”）独立开发、运营的服务平台。
The Equipment Exhibition Hall is a
service platform independently developed and operated by SUMEC International Technology
Co., Ltd. (hereafter referred to as "SUMEC").
I. Special Notes
1.
本协议已对与您的权益可能具有重大关系的条款用粗体字予以标注，您应重点阅读。

The terms hereof that may be of material concern to your rights and interests are marked in
bold and you should read them carefully.
2.
本协议内容包括协议正文及所有装备展示厅上已经发布的或将来可能发布的各类规则（下称“有关规则”）。所有有关规则为本协议不可分割的一部分，与协议正文具有同等法律效力。
2.
The Agreement includes its main text and all rules that
have been published or may be published on the Equipment Exhibition Hall in the
future (hereinafter referred to as "relevant rules"). All Relevant
Rules are an integral part of this Agreement and have the same legal effect as
the main text of the Agreement.
3.
本协议的个别条款可能会根据业务需要不时地进行调整，一旦条款内容发生变动，将会在网站以公告的方式予以公布。若您继续使用、接受装备展示厅的服务，视为您已充分阅读、理解并接受修改后的协议内容；若您不同意修改后的协议内容，您应当立即停止使用装备展示厅的服务。
3.
The individual terms hereof may be adjusted from time to
time according to business needs, which, if so, will be publicized on the
website by way of announcement. If you continue to use
and accept the services of the Equipment Exhibition Hall,
you are deemed to have fully read, understood and accepted the revised
Agreement; if you do not agree with the revised agreement, you should
immediately stop using the services of the Equipment Exhibition Hall.
二、会员
II. Membership
1.
装备展示厅的会员是具有完全民事权利能力、能够独立承担法律责任的自然人、法人及其他组织。若您不具备此资格，请不要注册或使用装备展示厅，由此导致的一切后果由您及您的监护人承担，且苏美达有权终止向您提供服务并注销您的账户。
2.
装备展示厅禁止被永久取消会员资格的自然人、法人及其他组织再次使用装备展示厅。
3.
此外，您还需确保您不是任何国家、国际组织或者地域实施的贸易限制、制裁或其他法律、规则限制的对象，否则您可能无法正常注册及使用服务。
1.
Members of the Equipment Exhibition Hall should be
natural persons, legal persons and other organizations that have full capacity
for civil conducts and the ability to undertake legal responsibilities
independently. Should you do
not have this qualification, please do not register or use the Equipment
Exhibition Hall; otherwise, you and your guardian(s) shall bear all
consequences arising therefrom, and SUMEC has the right to terminate the
services provided to you and close your account.
2.
Natural persons, legal persons and other organizations
whose membership has been permanently canceled are prohibited from using the Equipment Exhibition Hall again.
3.
Moreover, you shall ensure that you are not subject to any trade restrictions
or sanctions imposed by any country, international organization or region, or
restrictions by other laws and regulations, otherwise you
may not be able to register and use the Equipment Exhibition Hall normally.
三、注册条款
III. Terms of Registration
1.
若您在使用装备展示厅的过程中申请注册成为会员，您须遵守以下规则：
1. If you apply for membership
registration in the course of using the platform of Equipment Exhibition
Hall, you shall comply with the following rules:
（1）在申请注册时，提供真实、准确、即时、完整的注册信息，包括姓名、手机号码或邮箱、手机号码或邮箱的验证码、贸易身份，其中注册过程中的“公司名称”及“感兴趣的行业”不是必须提供的信息，您可根据您的意愿决定是否提供；
(1) When
applying for membership registration, you shall provide true, accurate, immediate
and complete information for registration, including name, mobile phone
number or email address, verification code for mobile phone number or email
address, and trading identity, while the information of "company
name" and "industry of interest" in the registration are not
mandatory and you can decide whether to provide such information at your sole
discretion;
（2）维护并及时更新注册信息以保持其真实、准确、即时、完整。
(2) You shall maintain
and timely update the registration information to keep it true, accurate, immediate and complete.
2.
如您代表其他自然人、法人及其他组织在装备展示厅上注册会员，则您声明并保证，您已获得授权并有权使前述法律主体受本协议的约束。
2. If you register the membership of the
Equipment Exhibition Hall on behalf of other natural persons, legal persons and
other organizations, you shall represent and warrant that you have obtained the authorization and have been entitled to
make the foregoing legal subjects governed by this Agreement.
3.
注册过程中，您可自主选择一个手机号码或邮箱作为您的登录名。您应妥善保管您的登录名和验证码，并对通过该账号进行的所有行为负责。
3. During the registration process, you can
choose a mobile phone number or email address as your login ID. You should keep your login ID and verification code
properly and be responsible for all actions taken with this ID.
4.
您对已经注册通过的装备展示厅账号个人信息，可进入您的“个人中心”首页进行自行修改。登录名（手机号码或邮箱）请联系平台客服电话4006979616进行修改。
4. You can change your personal information
about the registered account by yourself in the "Personal Center" on the home
page, but to change
your Login ID (mobile phone number or email address), you should contact the
platform customer service at 4006979616.
5.
您的账号为您自行设置并由您保管，苏美达任何时候均不会主动要求您提供您的账户及验证码。因此，建议您务必保管好您的账号，并确保您在每个上网时段结束时退出登录并以正确步骤离开平台。账号因您主动泄露或因您遭受他人攻击、诈骗等行为导致的损失及后果，苏美达并不承担责任，您应通过司法、行政等救济途径向侵权行为人追偿。
5. Your account is set up and kept by yourself,
and SUMEC will never ask you for your account and verification code at any
time. Therefore, we recommend that you take care of your account and
ensure that you will take correct steps to log out the platform at the end of
using the Internet. SUMEC is not responsible for any losses or
consequences caused by your voluntary disclosure of account information or by
attacks or fraudulent acts of others. In such cases, you should seek
compensation from the tortfeasor(s) through judicial or administrative
remedies.
四、使用条款
IV. Terms of Use
1.
您在使用装备展示厅时，须保证遵守国家的法律法规和规章制度，遵守装备展示厅的有关协议、规定、规则、程序和惯例，不得利用装备展示厅从事任何非法活动。
1. You shall guarantee that your activities
on the Equipment Exhibition Hall comply with national laws, regulations and
rules, as well as the relevant agreements, regulations, rules, procedures and
practices of the Equipment Exhibition Hall, and you will not take advantage of
the Equipment Exhibition Hall to engage in any illegal activities.
2.
您对通过装备展示厅发布的所有信息（内容包括但不限于公司/个人信息、商业信息，形式包括但不限于文字、图片、视频）的真实性、准确性、即时性、完整性和合法性独立承担所有责任，您应对您账号项下的所有行为结果（包括但不限于发布信息、询/报价、从平台上得知供应商或客户信息后与其线下进行采购/销售产品、披露信息等）负责。
2. You are independently responsible for
the authenticity, accuracy, immediacy, completeness and legitimacy of all
information (including but not limited to company/personal information, business
information, in the form of but not limited to texts, pictures, videos) posted
on the Equipment Exhibition Hall, and you are responsible
for the results of all actions under your account (including but not limited to
releasing information, making inquiry/offer, purchasing/selling products
offline after obtaining the information about suppliers or customers from the
platform, disclosing information, etc.).
3.
装备展示厅任何以电子邮件形式发送的通知，都将向您的电子邮箱地址发送。装备展示厅有权通过您提供的联系方式（包括但不限于电子邮件、手机号等）发送与装备展示厅所提供服务相关的各类商业信息，如您拒绝继续接收上述商业信息，您可通过个人中心中取消订阅、短信提示回复退订、等我们提供的其他方式进行退订或关闭。
3. Any notifications sent via email from
the Equipment Exhibition Hall will be sent to your email address. The
Equipment Exhibition Hall has the right to send all kinds of business information
related to the services it provides through the contact information you provide
(including but not limited to email address, mobile phone number, etc.). Should
you refuse to receive the above business information, you can unsubscribe or
close such information services from the "Personal Center" or by replying
to the SMS that reminds you to unsubscribe.
4.
以下信息在装备展示厅上禁止发布：
4. The following information is prohibited
on the Equipment Exhibition Hall:
（1）有关宗教、种族或性别等的贬损言辞，或含淫秽、色情、侮辱、恐吓、诽谤等内容的信息；
（2）侵犯任何第三方著作权、专利、商标、商业秘密、隐私权、名誉权或其它权利的信息；
（3）其它任何违反国家法律法规、规章制度等的信息。
（4）欺诈、虚假、不准确或存在误导性的；
（5）存在可能破坏、篡改、删除、影响装备展示厅站任何系统正常运行或未经授权秘密获取阿里巴巴中国站及其他用户的数据、个人资料的病毒、木马、爬虫等恶意软件、程序代码的；
(1) Derogatory remarks about
religion, race or gender, etc., or information having obscene, pornographic,
insulting, intimidating or libelous implications;
(2) Information that infringes the copyright, patent,
trademark, trade secret, privacy, reputation or other rights of any third party;
(3) Any other information that violates national laws,
regulations, rules, etc.;
(4) Fraudulent, false, inaccurate or misleading
information;
(5) Information containing viruses,
Trojans, crawlers and other malicious software and program codes that may
damage, tamper with, delete, affect the normal operation of any system in the Equipment Exhibition Hall or may secretly obtain data and
personal information of Alibaba China and other users without authorization;
(6) Other information that goes against the public
interest or social ethics.
5.
装备展示厅将尽力核查会员提交的信息，并依照有关法律法规以及网站的运营规则进行审核、发布或删除会员提交的信息，但并不保证会员所发布信息的真实性、准确性和合法性，会员应当自行对其所发布的信息的真实性、准确性和合法性负责。
5. The Equipment
Exhibition Hall will make every effort to verify the information submitted
by members and review, release or delete such information in accordance with
the relevant laws and regulations and the operation rules of the website, but
does not guarantee the authenticity, accuracy and legitimacy
of the information posted by members, who should be responsible for the
authenticity, accuracy and legitimacy of the information that they post.
6.
装备展示厅若含有与其他网站的链接的，装备展示厅并不能控制这些网站及其所提供的资源，所以对链接网站上的内容、广告、服务、产品信息的真实、准确、即时、完整性不做任何承诺，并且对链接网站不承担任何法律责任。
6. For links to other websites contained on
the platform of Equipment Exhibition Hall, the Equipment Exhibition Hall has no control over these websites
or the resources they provide, and thus the Equipment Exhibition Hall makes no
commitment to the authenticity, accuracy, immediacy and completeness of the contents,
advertisements, services, product information on the linked websites, and does
not assume any legal responsibility for them.
7.
对于您发布在装备展示厅中可公开获取的公司信息、产品信息或其他信息（包括但不限于文字、图片、视频），您同意苏美达在全世界范围内具有免费的、永久的、不可撤销的、非独家的和完全的许可和再许可的权利，以使用、复制、修改、改编、出版、翻译、据以创作衍生作品，传播、表演和展示前述内容（整体或部分），和/或将前述内容编入其他任何形式的作品、媒体、或技术中，不论是当前已知的或以后开发的。同时，您同意苏美达在未改变您提供信息的实质内容的情况下免于承担因该信息引起的任何法律责任。
7. With respect to any company information,
product information, or other information (including but not limited to texts,
images, videos) that you post and are publicly available on the platform of Equipment
Exhibition Hall, you agree that SUMEC has a free,
perpetual, irrevocable, non-exclusive and full license and sublicense right worldwide to use, reproduce, modify,
adapt, publish, translate, create derivative works accordingly, spread, perform
and display the foregoing information (in whole or in
part), and/or incorporate the foregoing information into works, media, or
technologies in any form, whether currently known or hereafter developed. And meanwhile, you agree to hold SUMEC harmless from any liability arising out of the information you provide,
providing that SUMEC doesn't change the substance of that information.
8.
您同意苏美达在其运营及合作的所有网站（包括但不限于现有的或将来可能创建的网站）上推广您所提供的公司、产品或其他信息（以下简称“信息”）或者线下推广您所提供的信息，以便促进交易的达成，且同意苏美达在未改变您所提供信息实质内容的情况下免于承担因该信息引起的任何法律责任。
8. You agree that SUMEC is allowed to
promote the company, product or other information you provide (hereinafter
referred to as "Information") on all websites it operates and cooperates
with (including but not limited to existing websites or future websites that may be created) or offline in order to facilitate
transactions, and you agree to hold SUMEC harmless from any liability arising
out of the information you provide, providing that SUMEC doesn't change the
substance of that information.
9.
对于您通过我们平台收到的推送信息，您应当自行谨慎加以判断，并自行决定是否进一步洽商和订立合同，您自行对您的行为承担责任。您理解并同意，苏美达仅为会员物色交易对象，就产品和服务的交易进行协商，会员做出是否交易的决定不应依赖苏美达的推荐，应当自行行使选择权和决定权。苏美达不对平台上会员的履约能力做出任何承诺，苏美达也不会参与会员之间的交易或会员与其他方的交易，亦不会涉及会员间因交易而产生的法律关系及法律纠纷。
9. You should make prudent self-judgment on
the pushed information you receive through our platform and make self-decision
on whether to negotiate and enter into further contracts, and you are solely
responsible for your actions. You understand and agree that SUMEC only
recommends trade partners and negotiates product and service transactions for
members and that members should not rely on SUMEC's recommendation to make
trading decisions but should exercise their own rights of choice and decision. SUMEC does not make any commitment to the contract
performance capacity of
the platform members, and SUMEC will neither participate in transactions
between members or between members and other parties, nor involve in legal
relations and legal disputes between members arising from transactions.
10.
您若通过平台推送的信息经过您自身的判断后与其他会员或其他方达成交易的，您应当严格按照与对方达成的交易合同履行，否则由此引发的争议和纠纷由您自行负责解决，与苏美达无关。
11.
平台不提供支付功能，也非交易平台。故此，您在使用过程中请勿相信任何要求您打款、支付的信息或者随意点击要求您付款的链接，避免上当受骗。如发现存在危害的信息，请您及时主动通过平台客服电话4006979616与苏美达进行联系和投诉，以便我司对有害信息进行处理。
11. The platform does not provide payment
function and it is not a trading platform. Therefore, please do not believe any
information that requires you to make remittance or payment or click on any link
that asks you to make payment in the course of using the platform, in order to
avoid being cheated. Should you find harmful information, please take the
initiative to contact SUMEC and submit your complaints through the platform
customer service at 4006979616, so that our company can deal with such harmful
information in a timely manner.
12.
为了提升服务质量，当您登录装备展示厅时，我们会有选择性地为您开通虚拟号码服务，以便潜在客户或供应商能够及时联系到您，；如果您不需要此项服务，您可以通过拨打客服热线进行退订。
12. In order to improve the quality of
service, when you log into the Equipment Exhibition Hall, we will selectively provide
you with the virtual phone number service, so that potential customers or
suppliers can contact you in a timely manner; you can unsubscribe this service
by calling the customer service hotline if you not need it.
五、信息收集
V. Information Collection
当您在装备展示厅注册成为会员时，装备展示厅需要收集您的姓名、电子邮箱（Email）地址、联系电话、贸易身份等信息。当您浏览装备展示厅时，服务器会自动收集您的IP地址及浏览页面等信息。同时，装备展示厅收集全球供应商及其产品信息、采购商的需求信息，构建其数据库系统。除非会员许可或法律需要，装备展示厅不会泄露与某一会员直接相关的上述信息。具体信息收集及使用规则，请参考装备展示厅《隐私策略》。
When you register for membership on the
platform of Equipment Exhibition Hall, the platform
will collect your name, Email address, contact
number, trading identity and other information. When you visit the website of Equipment
Exhibition Hall, the server will automatically collect
your IP address, the paged you browse, and other information. At the same time,
the Equipment
Exhibition Hall also collects information on global
suppliers and their products, as well as information on the needs of buyers to
build its database system. Unless permitted by the member or required by law,
the Equipment
Exhibition Hall will not disclose the above
information directly related to a member. Please refer to the Equipment
Showroom's Privacy Policy of the Equipment
Exhibition Hall for specific rules of information
collection and use.
六、费用
VI. Fees
注册免费会员及使用相应服务是免费的；请注意：
The registration for membership and the
access to the corresponding services are free of charge; please note that:
苏美达不负责对您因使用装备展示厅的服务而需支付的软硬件、税收、通讯、网络服务费及其它费用。
SUMEC is not responsible for the hardware
and software fees, taxes, communication fees, web service fees and other
charges incurred by you as a result of using the services of the Equipment
Exhibition Hall.
七、纠纷、争议及投诉处理
VII. Dispute & Controversy Resolution and Complaint
Handling
1.
您同意在使用装备展示厅的过程中，当发现任何可能侵害自己或装备展示厅权利的事实时，应及时通知装备展示厅并提供相应的证明材料。因投诉不实给装备展示厅或第三方造成损失的，您应承担法律责任。
1. Should you find any possible
infringement of the rights of your own or the Equipment
Exhibition Hall in the process of using the platform, you agree to promptly
notify the Equipment Exhibition Hall and provide the corresponding evidences. You
shall bear the legal liability for any loss caused to the Equipment Exhibition
Hall or any third party due to false complaint(s).
2.
您若通过平台推送的信息经过您自身的判断后与其他会员或第三方达成交易的，若因该等交易产生争议， 与苏美达无关，您有权选择以下途径解决：
2. For any dispute arising a transaction that you conclude with
another member or a third party through the information pushed by the platform
based on your own judgment and having no concerns with SUMEC, you have the right to choose
the following ways to resolve it:
（2）向有关行政部门投诉；
（3）根据与争议相对方达成的仲裁协议（如有）提请仲裁机构仲裁；
（4）向人民法院提起诉讼。
(1) To independently negotiate with the other
party involved
in the dispute;
(2) To submit complaints to the relevant administrative
authorities;
(3) To submit it to an arbitration institution for arbitration in
accordance with the arbitration agreement (if any) reached with the other party
involved in the dispute;
(4) To file a lawsuit with the People's Court.
八、中止与终止
VIII. Suspension and Termination
1.
对于您的以下行为，装备展示厅有权中止或终止其相关服务或者拒绝其以任何形式使用装备展示厅，且不对您承担任何责任，并且装备展示厅保留追究您法律责任的权利：
1.
In case of any of the following
circumstances, the Equipment Exhibition Hall reserves the right to suspend or
terminate its services or refuse you to use it in any form without assuming any
responsibility to you, and reserves the right to hold you legally responsible:
o
（1）您提供的信息不真实、不完整、不及时、不准确；
o
(1) The
information you provide is untrue, incomplete, untimely or inaccurate;
o
（2）利用装备展示厅滥发重复信息，发布国家法律法规等禁止或限制发布的信息，发布不属于会员经营范围的信息，或与装备展示厅服务无关的信息；
o
(2) You use
the Equipment Exhibition Hall to send repeated
information indiscriminately, and post information
prohibited or restricted by national laws and regulations, etc., information
that beyond the business scope of members, or information that has nothing to
do with the services of the Equipment Exhibition Hall;
o
（3）未经授权向装备展示厅会员发送大量与业务不相关的信息；
o
(3) You send
large amounts of non-business related information to Equipment
Exhibition Hall members without authorization;
o
（4）冒用其他企业的名义发布商业信息，进行商业活动；
o
(4) You
release business information and conduct commercial activities under the name
of another enterprise;
o
（5）计划破坏、攻击装备展示厅网站电脑系统、网络的完整性，或者试图擅自进入装备展示厅网站电脑系统、网络；
o
(5) You plan
to destroy or attack the integrity of the website computer
system or network of the Equipment Exhibition Hall, or attempt to gain
unauthorized access to the website computer system or network of the Equipment Exhibition
Hall;
o
（6）使用或提供含有毁坏、干扰、截取或侵占任何系统、数据或个人资料的任何电脑病毒、伪装破坏程序、电脑蠕虫、定时程序或其他破坏性程序；
o
(6) You use
or make available any computer virus, disguised sabotage program, computer
worm, timer bomb or other destructive programs that destroy, interfere with,
intercept or encroach on any system, data or personal data;
o
（7）盗用他人在装备展示厅上的账户；
o
(7) You steal
others' accounts on the Equipment Exhibition Hall;
o
（8）未经装备展示厅同意的账户出售或授权使用行为；
o
(8) You sell or authorize others to use an account without the
consent of the
Equipment Exhibition Hall;
o
（9）涉及装备展示厅的欺诈活动；
o
(9) You
conduct fraudulent activities involving the Equipment
Exhibition Hall;
o
（10）涉及知识产权侵权行为；
o
(10) You involve
in intellectual property infringement;
o
（11）违反法律法规、规章制度、装备展示厅有关协议、规定、规则、程序和惯例的其他行为。
o
(11) Other
acts that violate laws and regulations, rules, as well as agreements,
provisions, rules, procedures and practices related to the Equipment Exhibition
Hall.
2.
您同意，苏美达有权基于合理的怀疑并经电子邮件通知的情况下中止或者终止您的相关服务或者装备展示厅账号的使用，苏美达对此不承担任何责任。
2. You agree that SUMEC has the right to
suspend or terminate your use of the relevant services or your account of the
Equipment Exhibition Hall based on reasonable suspicion and upon notice to you by
email, and that SUMEC shall not be liable in any way for such suspension or
termination.
3.
一旦您的会员服务被终止，您将不能在装备展示厅上发布信息，也不能让别人代为发布信息；您在装备展示厅的注册资料及所有相关信息均会被删除或丢弃；同时对您会员服务终止前的行为，苏美达保留追究您法律责任的权利。
3. Once your
membership service is terminated, you will be unable to post information on the
Equipment Exhibition Hall, or have others to post information on your behalf; your
registration data and all relevant information on the Equipment Exhibition Hall
platform will be deleted or discarded; at the same time, SUMEC reserves the
right to hold you legally responsible for your behaviors happened before the
termination of your membership service.
九、责任声明
IX. Responsibility Statement
1.
装备展示厅不保证网站是不受干扰的、没有故障的，也不对使用效果做任何保证。装备展示厅不对因人为或非人为因素造成的您与装备展示厅服务器之间的连接受阻而无法访问和因此导致记录丢失负责。您同意独立承担因网站意外中断、操作或传输的迟延、设备与系统维护、设备与系统故障、网络信息与数据安全等因素、电脑病毒、网络连接故障、未经授权的进入等引起的损失，苏美达对此不承担责任。
1. The Equipment
Exhibition Hall does not guarantee that the website is free from
interference and faults, nor does it make any commitment to the use effects. The
Equipment Exhibition Hall is not liable for the
inaccessibility and loss of records due to blocked connection between you and
the server of the Equipment Exhibition Hall caused by human or non-human
factors. You agree to independently assume responsibility for losses arising
from unexpected website interruptions, delays in operation or transmission,
equipment and system maintenance, equipment and system failure, network
information and data security and other factors, computer viruses, network connection failures, unauthorized access, etc.,
and SUMEC assumes no responsibility for this.
2.
因不可抗力（包括但不限于自然灾害、罢工或骚乱、暴动、战争行为、政府行为、以及因互联网的特殊性而产生的包括黑客攻击、互联网连通中断或者系统故障、电信部门技术调整导致的影响、政府管制而造成的暂时性关闭在内的任何影响网络正常运营的因素）等非装备展示厅的原因，致使装备展示厅履行迟延或不能履行的，装备展示厅不承担任何责任。但装备展示厅应在不可抗力发生后及时通知您并采取措施，尽最大努力减轻可能给您造成的损失。
2. The Equipment Exhibition Hall shall not be liable for any delay or failure in performance due
to force majeure (including but not limited to natural disasters, strikes or
riots, rebellions, acts of war, government acts; hacker attacks, network
connection failures or system failures due to the special nature of the
Internet; the impact of technical adjustments caused by telecommunications
departments; temporary closure caused by government control; and other factors
affecting the normal operation of the network) and other causes
not attributable to the Equipment Exhibition Hall. In any of the above circumstances, the
Equipment Exhibition Hall shall notify you in a timely manner after the
occurrence of force majeure events and make every effort to reduce the possible
losses caused to you.
3.
对由于会员在使用装备展示厅的过程中，违反装备展示厅相关协议、规则或会员违反任何法律或第三方的权利而产生或引起的任何索赔、要求、诉讼、损失和损害，会员同意就此对苏美达及其员工、装备展示厅及权利人进行赔偿并使其免受损害。
3. The Member
shall agree to indemnify and hold SUMEC and its employees, the Equipment Exhibition Hall and rights holders harmless from any claims, demands,
actions, losses and damages arising out of or in connection with the member's
breach of the relevant agreements or rules of the Equipment Exhibition Hall or violation of any law or the rights of
a third party in the course of using the Equipment Exhibition Hall.
4.

4. The Equipment Exhibition Hall can neither guarantee the
authenticity, timeliness, security and correctness of the information posted by

X. Intellectual Property

装备展示厅上所有内容的选材、整理、编排、排版、汇编，以及由装备展示厅创作的文字、图片等作品的著作权，无论是否明示，均属苏美达所有。任何自然人、法人及其他组织未经苏美达书面授权或许可，不得修改、出版、传播、参与传播、销售、制作衍生作品，或以其他任何方式使用整体或部分的装备展示厅上的内容，包括但不限于公司信息、产品信息，苏美达将保留追究其法律责任的权利。
1. All contents on the Equipment Exhibition
Hall in terms of selection, collation, arrangement, layout and compilation, and
the copyrights of the texts and images created by the Equipment Exhibition
Hall, whether express or implied, are in the possession of SUMEC. Any natural
person, legal person and other organizations without SUMEC's written
authorization or permission, shall not modify, publish, disseminate,
participate in the dissemination, sale, production of derivative works or use
the whole or part of the contents on the Equipment Exhibition Hall in any other
form, including but not limited to company information, product information,
otherwise, SUMEC reserves the right to hold you legally responsible.

未经苏美达授权，任何人不得使用苏美达设计、使用、所有的商标。其它在装备展示厅上出现的商标为它们各自的权利人所有。
2. No one may use any trademark designed, used or owned by SUMEC without SUMEC's authorization. Other
trademarks appearing on the platform of the Equipment Exhibition Hall are the property
of their respective right holders.

装备展示厅上所有可阅读的资料等都受到《著作权法》、《商标法》等法律保护。装备展示厅尊重和保护他人的知识产权，不允许在没有著作权、商标权或其他专有权权利人明确许可的情况下，发布或者传播任何可能侵犯他人权利的信息、图片，否则，行为人承担由此产生的全部责任。

information on the Equipment Exhibition Hall are protected by the Copyright
Law, the Trademark Law, etc. The Equipment Exhibition Hall respects
and protects the intellectual property rights of others and does not allow the
release or dissemination of any information or pictures that may infringe upon the
rights of others without the express permission of the obligees
of copyrights, trademark rights or other exclusive rights, otherwise, the party
concerned shall assume full responsibility for the consequences arising
therefrom.

XI. Others

本协议的订立、变更、执行和解释，以及与本协议有关的争议解决，均应适用中华人民共和国法律，并以苏美达所在地的法院为管辖法院。
1. The conclusion, modification, execution and
interpretation of this Agreement, as well as to the settlement of disputes in
connection with this Agreement shall be governed by the laws of the People's
Republic of China, and be under the jurisdiction of the people's court where
SUMEC is located.
